• A Program member ("Member") is eligible to receive reward credit ("Rewards") on Qualifying Purchases (defined below) made at Office Depot stores, by phone at 1.800.463.3768 or online at www.officedepot.com or www.officedepot.ca (Canadian customers). No annual fee for membership.

• To receive Rewards, you must register the Member number on the Member card in-store, at www.myworkliferewards.com or at 1.866.322.3225. Member cards are not credit or gift cards. Your Member card or Member number must be presented at time of purchase to receive Rewards.

• Member card is not transferable or assignable and is not for resale or auction.

• Qualifying Purchases, excluding tax and discounts, made within a calendar quarter as follows:

• 10% on ink and toner; case, ream and photo paper; copy, print and other products/services in-store at Design, Print and Ship Depot (excludes merchandise returns, thermal fax paper, paper rolls used in adding machines and cash registers and postage stamps).

• 1% on almost everything else (excludes merchandise returns; purchases from www.techdepot.com, U.S. Military stores; purchases of computers; monitors; TV's; prepaid gift, merchandise, debit, phone or services cards; third party services, including, without limitation technology, installation, and wireless services).

• In determining your Rewards, your qualifying purchase is reduced by the value of any free item earned in your purchase.

• Purchases made with Office Depot Reward or Merchandise Cards do not qualify for Rewards.

• Program Reward Periods are as follows:

• Rewards are issued when a minimum of $10 has been earned in a calendar quarter. Qualifying purchases carry over from quarter to quarter. Unearned rewards expire December 31 of each year. There is no maximum amount of Rewards that can be earned in a quarter.

• Rewards are issued as an Office Depot Reward Card. Office Depot reserves the right to issue Rewards in any form, including coupons or checks. Reward Cards are issued within 60 days after the end of each quarter and will be valid for 90 days after the date of issuance. No extensions or exchanges will be allowed for expired Reward Cards.

• Reward Cards may be redeemed on purchases of merchandise only, which excludes any type of prepaid gift, merchandise, debit, phone or service cards.

• Limit one Worklife Reward account per business/household.

• Reward Cards do not constitute property, do not entitle a member to a vested right or interest and have no cash value. Reward Cards are not redeemable for cash, transferable or assignable for any reason. The sale of Reward Cards is strictly prohibited. Reward Cards shipped and returned as undeliverable will be forfeited. The issuance of Reward Cards is final except in the event that a card has been issued in error. Lost or stolen Reward Cards will not be reissued.

• Members are responsible for taxes, charges or other liabilities related to or resulting from their participation in the Program.

• Membership is open to legal residents of the 50 U.S. states, District of Columbia or Canada and at least 18 years of age, except that Contract Sales, State, Municipal and Federal Government accounts are not eligible to participate in the Program.

• By participating in the Program, you consent to these terms and conditions ("Terms") of this Program. Any changes to the Terms will be effective immediately upon posting at www.myworkliferewards.com.

• Office Depot reserves the right, in its sole discretion to modify, limit or terminate the Program and/or Reward Redemption values, or any portion thereof, at any time, with or without prior written notice.

• Your Member information will not be sold or rented to any company outside of Office Depot and its affiliated companies. In order to facilitate your account, we may share your information with our trusted vendors, who have agreed to keep your information confidential. Your information will be used for the purpose of account maintenance, improving not only your customer experience but also the range and types of products and services offered by us to you, as well as to notify you of special offers, promotions, and/or catalogs which may be of interest to you. Of course we will comply with all laws regarding information access by federal and state authorities and may use such information to protect the integrity of the Program or the safety of the Members. • Office Depot assumes no responsibility for errors caused by incorrect Member information.

• The interpretation and application of the Terms are in the sole discretion and determination of Office Depot, which in each case shall be final and conclusive.

• The laws of the State of Florida, without regard to its conflict of laws rules, will govern the Terms, as well as your and our observance of them. If you take any legal action relating to your use of the Program or the Terms, you agree to file such action only in the state and federal courts located in Palm Beach County, Florida.

• If Office Depot fails to act with respect to your breach or anyone else's breach on any occasion, Office Depot is not waiving its right to act with respect to future or similar breaches.

• The Terms, together with those items made a part of these terms by reference, make up the entire agreement between us relating to the Program, and replaces any prior understandings or agreements (whether oral or written) regarding the Program. If a court finds any of the Terms to be unenforceable or invalid, that Term will be enforced to the fullest extent permitted by applicable law and the other Terms will remain valid and enforceable. • Office Depot® Worklife Rewards™ Members ("Worklife Member") are eligible to sign up to receive rewards ("HP PurchasEdge Rewards") on purchases of HP® brand ink, toner and paper made at Office Depot® stores within the 50 United States and the District of Columbia, online at www.officedepot.com or by phone at 1-800-GO-DEPOT (1-800-463-368) ("Qualifying Purchase") during the Program Reward Periods, defined below (Program is not available in Canada.)

• To receive HP PurchasEdge Rewards, you must be a Worklife Rewards Member and you must sign up through www.myworkliferewards.com. Customers enrolled in the Contract HP PurchasEdge Program directly through HP are not eligible to participate in this Program.

• Office Depot® Worklife Rewards™ Members ("Worklife Member") who signed up to receive HP PurchasEdge Rewards during September 1, 2007 through December 31, 2008 will not need to sign up again to earn rewards during 2009.

• Your Worklife Rewards Membership card or Worklife Rewards Member number must be presented at time of purchase to be eligible to receive HP PurchasEdge Rewards.

• HP PurchasEdge Rewards are not offered on purchases from www.TechDepot.com or U.S. Military stores.

• Program Reward Periods are as follows:

• October 1 - December 31, 2008

• January 1 - March 31, 2009

• April 1 - June 30, 2009

• A minimum of $250 in Qualifying Purchases is required during a Program Reward Period to be offered HP PurchasEdge Rewards for that particular Program Reward Period. HP PurchasEdge Rewards will be offered as follows:

• 4% back of your total net dollar amount of Qualified Purchases, which exclude tax, returns and discounts, in the form of an HP PurchasEdge Rewards Card.

• Qualifying purchases will be carried over from Quarter to Quarter within a calendar year. All unearned rewards will expire at the end of each calendar year

• There is no limit on the amount of HP PurchasEdge Rewards that can be earned during a Program Reward Period.

• HP PurchasEdge Rewards Cards can only be redeemed at Office Depot retail store locations and only on the purchase of HP® brand printers and/or HP® brand paper.

• HP PurchasEdge Rewards Cards are issued within 60 days after the end of each Program Reward Period. HP PurchasEdge Rewards Cards issued for rewards accrued through December 31, 2008 will expire on November 30, 2009. HP PurchasEdge Rewards Cards issued for rewards accrued from January 1, 2009 through June 30, 2009 will expire 90 days after the date of issuance. • The failure of Office Depot to comply with the Terms because of an act of God, war, fire, riot, terrorism, earthquake, actions of federal, state or local governmental authorities or for any other reason beyond the reasonable control of Office Depot, shall not be deemed a breach of this Agreement. If any such contingency shall last for more than sixty (60) days, Office Depot shall have the right to terminate this Program by giving notice with no further liability to any member.

• The laws of the State of Florida, without regard to its conflict of laws rules, will govern these Terms, as well as your and our observance of them. If you take any legal action relating to your use of our Rewards Program or these Terms, you agree to file such action only in the state and federal courts located in Palm Beach County, Florida.

• If Office Depot fails to act with respect to your breach or anyone else's breach on any occasion, Office Depot is not waiving its right to act with respect to future or similar breaches.

• These Terms, together with those items made a part of these terms by reference, make up the entire agreement between us relating to the Program, and replaces any prior understandings or agreements (whether oral or written) regarding the Program. If a court finds any of these Terms to be unenforceable or invalid, that Term will be enforced to the fullest extent permitted by applicable law and the other Terms will remain valid and enforceable.
